Terms of Service

1. Introduction

These Terms of Service (“Terms”) constitute a legally binding agreement between you and Nefter LLC governing your access to and use of the Akivva platform, website, and related services (the “Services”). By creating an account or using Akivva, you acknowledge that you have read, understood, and agreed to these Terms and our Privacy Policy.

 

2. Definitions

  • “Creator” means a user who publishes content and receives support from Subscribers.

  • “Subscriber” means a user who purchases a membership or subscription to access Creator content.

  • “Content” means any media uploaded or shared through Akivva.

  • “Stripe” refers to the payment processor integrated with Akivva to handle transactions.

 

3. Eligibility

You must be at least 18 years old and legally capable of entering into binding agreements. By registering, you represent that the information you provide is accurate and complete. Accounts found to be false, fraudulent, or impersonating others may be suspended or terminated without notice.

 

4. Account Registration and Security

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify Akivva immediately of any unauthorized access or security breach. Akivva is not liable for losses arising from failure to protect your credentials.

 

5. Nature of the Service

Akivva is a membership platform that allows Creators to offer digital content to Subscribers in exchange for monthly payments. Akivva acts as an intermediary facilitating transactions between Creators and Subscribers through Stripe. Nefter LLC does not own or control Creator content.

 

6. Payments and Subscriptions

6.1 Processing – All payments are handled via Stripe under PCI-DSS compliance. Akivva never stores full payment card numbers.

6.2 Recurring Billing – Subscriptions renew automatically each month until canceled. You authorize Stripe to charge the payment method on file.

6.3 Commissions and Fees – Akivva may deduct service or processing fees from Creator earnings. Fee structures may change with reasonable notice.

6.4 Taxes – Creators and Subscribers are responsible for applicable taxes in their jurisdictions. Akivva may collect or remit tax where required by law.

6.5 Refunds – Refund requests are governed by the Refund & Cancellation Policy. Payments for digital content are generally non-refundable.

 

7. Content and Intellectual Property

7.1 Creator Rights – Creators retain full ownership of their content. By posting, you grant Akivva a non-exclusive, worldwide, royalty-free license to host and display it for the purpose of providing the Services.

7.2 User Content Rules – You may not upload or share content that is illegal, fraudulent, infringing, hateful, exploitative of minors, or non-consensual.
Legal adult and explicit artistic content is permitted if compliant with applicable laws and labeled appropriately.

7.3 Reporting and Moderation – Akivva may remove content violating these Terms or third-party rights. Repeated violations may result in account termination.

 

8. Acceptable Use

You agree not to:

  • Use Akivva for illegal activities or money laundering.

  • Harass, abuse, or impersonate others.

  • Attempt to circumvent payment systems.

  • Post malware or conduct unauthorized data scraping.
    Violation of this section may lead to immediate suspension or reporting to authorities.

 

9. Termination and Account Closure

You may close your account at any time. Akivva may suspend or terminate accounts for violation of these Terms, fraud, or risk of harm to others. Upon termination, access to your content and earnings may cease. Certain data may be retained for up to one (1) year for legal purposes.

 

10. Disclaimers

  • Akivva is provided “as is” and “as available.”

  • We do not guarantee continuous or error-free service.

  • We make no warranties about accuracy of content or results of use.

To the maximum extent permitted by law, Nefter LLC disclaims all implied warranties, including merchantability and fitness for a particular purpose.

 

11. Limitation of Liability

In no event shall Nefter LLC or its officers be liable for any indirect, incidental, consequential, or punitive damages arising from use of the Services.
Our total liability shall not exceed the greater of (1) USD $100 or (2) the amount you paid to Akivva in the three months preceding the claim.

 

12. Indemnification

You agree to defend, indemnify, and hold harmless Nefter LLC, its affiliates, and employees from any claims arising from your content, use of the Services, or breach of these Terms.

 

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflicts of law principles.
Any dispute shall be resolved through good-faith negotiation; if unresolved, the exclusive venue shall be the state or federal courts located in Delaware.

 

14. Changes to These Terms

We may modify these Terms from time to time to reflect changes in our operations, fees, or applicable laws. We will notify users via email or in-platform notice of material updates. Continued use after changes constitutes acceptance of the revised Terms.
