Creators Agreement

1. Introduction

This Creator Agreement (“Agreement”) governs your participation as a Creator on Akivva, a digital membership platform operated by Nefter LLC.
By registering as a Creator, you agree to comply with this Agreement, the Terms of Service, Privacy Policy, and Acceptable Use Policy.

This Agreement sets forth your rights, responsibilities, and obligations when publishing and monetizing your content on Akivva.

 

2. Eligibility and Registration

To become a Creator on Akivva, you must:

  • Be at least 18 years old and legally capable of entering into binding contracts.

  • Provide accurate identification and payment details through Stripe Connect, Akivva’s payment processor.

  • Maintain full control of all content you upload and ensure it complies with applicable laws.

Nefter LLC reserves the right to verify your identity and deny or suspend Creator access at its sole discretion.

 

3. Relationship Between Akivva and Creators

  • You are an independent contractor, not an employee, agent, or representative of Akivva or Nefter LLC.

  • Nothing in this Agreement creates a partnership, joint venture, or employment relationship.

  • Creators are solely responsible for their own tax reporting, income declarations, and compliance with local laws.

 

4. Content Ownership and License

4.1 Ownership
Creators retain full ownership and intellectual property rights to the content they produce and upload.

4.2 License to Akivva
By uploading or publishing content on Akivva, you grant Nefter LLC a non-exclusive, worldwide, royalty-free license to host, distribute, publicly display, and promote your content as necessary to provide the platform’s services.

4.3 Third-Party Rights
You represent that all content you post is your original work or that you have obtained all necessary rights and permissions to publish it on Akivva.
You agree not to upload material that infringes copyrights, trademarks, privacy, or publicity rights of any third party.

 

5. Permitted and Prohibited Content

5.1 Prohibited Content
Creators may not upload, share, or promote any content that:

  • Depicts or involves minors in any capacity.

  • Contains non-consensual acts or sexual violence.

  • Promotes hate, discrimination, or harassment.

  • Violates laws regarding fraud, terrorism, or human trafficking.

  • Contains spam, phishing, or malicious software.

5.2 Permitted Explicit Content
Akivva allows adult or explicit artistic content if it meets all of the following conditions:

  • Involves only consenting adults.

  • Complies with all applicable laws and payment processor policies (Stripe).

  • Is clearly labeled or age-restricted within the platform.

  • Does not depict non-consensual or harmful acts.

Akivva reserves the right to restrict, hide, or remove content at its discretion to maintain compliance with laws and processor regulations.

 

6. Payments and Earnings

6.1 Revenue Model
Creators earn income from monthly subscriptions paid by fans (“Subscribers”). Payments are processed via Stripe, and Akivva distributes earnings minus applicable fees, taxes, and platform commissions.

6.2 Payment Schedule
Payouts are made to the Creator’s connected Stripe account in accordance with Akivva’s payout cycle.
Delays may occur due to banking schedules, verification procedures, or compliance reviews.

6.3 Fees and Deductions
Akivva may deduct:

  • Stripe processing fees

  • Platform service fees

  • Refunds or chargebacks (if applicable)

Creators are solely responsible for all taxes, duties, or government withholdings related to their earnings.

6.4 Minimum Payout Amounts
Akivva may set minimum payout thresholds. Balances below the threshold will roll over to the next payout period.

 

7. Refunds, Chargebacks, and Disputes

  • Refunds are managed under Akivva’s Refund & Cancellation Policy.

  • If a refund or chargeback occurs before payout, the amount will be deducted from your current balance.

  • If it occurs after payout, Akivva may offset future earnings to recover the refunded amount.

  • Repeated refund or chargeback activity may result in temporary suspension or permanent account closure.

 

8. Taxes and Legal Compliance

Creators are responsible for:

  • Reporting income and paying all applicable taxes.

  • Maintaining tax documentation as required by local or international law (e.g., W-9, W-8BEN).

  • Complying with financial regulations, including anti-money laundering (AML) and “Know Your Customer” (KYC) rules under Stripe Connect.

Akivva may issue annual statements or tax forms as required by U.S. law.

 

9. Termination and Content Removal

9.1 By the Creator
You may close your Creator account at any time by contacting support or using your account settings.
Upon termination, public visibility of your content will cease, but Akivva may retain backup copies for up to one (1) year for legal and compliance purposes.

9.2 By Akivva
Akivva may suspend or terminate your account for:

  • Violating this Agreement or the Acceptable Use Policy.

  • Engaging in fraud, harassment, or illegal activity.

  • Repeated refund or chargeback abuse.

Terminated accounts forfeit access to pending or unpaid earnings if violations are confirmed.

 

10. Confidentiality and Data Handling

You must not share private information about Subscribers or other users obtained through Akivva, except as necessary to fulfill your Creator activities.
Personal data collected through Akivva is subject to the Privacy Policy.

 

11. Liability and Indemnification

You agree to defend, indemnify, and hold harmless Nefter LLC, its officers, employees, and affiliates from any claims, damages, or expenses arising from:

  • Your content or conduct on Akivva.

  • Violations of intellectual property or privacy laws.

  • Breach of this Agreement.

Akivva’s total liability is limited as set forth in the Terms of Service.

 

12. Modifications to this Agreement

Akivva may modify this Agreement from time to time.
You will be notified via email or platform notice before changes take effect.
Continuing to use Akivva as a Creator after updates constitutes acceptance of the new terms.

 

13. Governing Law and Jurisdiction

This Agreement shall be governed by and construed under the laws of the State of Delaware, USA, without regard to conflict-of-law principles.
Any disputes shall be subject to the exclusive jurisdiction of the Delaware state and federal courts.
